1. Introduction

These Terms and Conditions ("Terms", "Terms and Conditions") serve to establish the rules governing the Service and to clarify the legal relationship between the entity utilising the Service and the Company. Threadbox operates the web pages located at https://threadbox.ai ("Website") and provides the Service (as further detailed in Section 2 below).

The Service is intended for professional entities to assist them in conducting their business activities.

By utilising the Website and/or the Service in any manner, including but not limited to completing the Account registration process, the User or Guest confirms that: (i) they have read, understood, and accept the Terms and Privacy Policy; (ii) they possess the legal capacity to enter into a contract with the Company; and (iii) they have the authority to act on behalf of the entity they represent, and their declarations are binding.

Should the User not agree to comply with these Terms, they should refrain from using the Service. In such an instance, the User may contact the Company via email at support@threadbox.ai to explore potential solutions.

2. Definitions

Unless otherwise specified, the following capitalised terms shall have the meanings set out below:

  • Account Refers to the personalised panel that allows the User to access and utilise the Service and/or the Website.
  • Agreement Refers to any subscription agreement that may be entered into between the User and the Company, detailing the scope and pricing of the Service.
  • API Denotes the Threadbox application programming interface designed for integration with the User's software.
  • Company Refers to Threadbox.
  • Content Denotes any text, images, or other materials that the Guest or User uploads, displays, or transmits via the Website or Service.
  • Device Refers to electronic equipment like computers, telephones, smartphones, or tablets that enable web browsing.
  • Guest Denotes an entity that browses the Website without registering an Account.
  • Intellectual Property Refers to designations, inventions, utility models, industrial designs, creative works, and other forms of intellectual output that are the exclusive property of the Company.
  • Licence Denotes a non-exclusive right for personal use of the API and/or the Widget.
  • Link Refers to a hyperlink pointing to a website other than the Website.
  • Mobile Device Signifies a portable electronic device, such as a phone, smartphone, or tablet, capable of accessing the Website and/or the Service.
  • Notification Refers to messages sent to the User as part of the Service.
  • Other Websites Refers to websites other than the Website.
  • Password Denotes the User's confidential authentication tool enabling Account access, consisting of a sequence of at least 8 characters that may be entered via a computer or Mobile Device keyboard.
  • Privacy Policy Refers to the Privacy Policy outlining the Company's rules for processing personal data, accessible at the following web address: https://threadbox.ai/privacy.
  • Service Denotes the combined offering of the Website, Widget, and/or API (depending on the scope agreed upon with a given User according to the Agreement).
  • Terms Refers to these terms and conditions accessible at the following web address: https://threadbox.ai/terms.
  • User Refers to an entity that holds an Account.
  • Website Denotes the web pages located at https://threadbox.ai.
  • Widget Refers to a Threadbox widget that may be embedded in the User's website.

The aforementioned definitions apply regardless of whether they appear in singular or plural form.

3. General Rules

Utilising the Service constitutes full acceptance of these Terms and Conditions. These terms govern the relationship solely between the Company and the User or Guest.

If the Service and/or Website offers the option of services provided by other entities, such services will be governed by the terms provided by those entities. Only those entities will bear responsibility for delivering the services, unless these Terms and Conditions explicitly state otherwise.

Every entity using the Service and/or Website is obligated to do so in accordance with its intended use, as stated in these Terms and Conditions.

Access to the Website is granted provided that the Device meets the following minimum technical requirements:

  • has Internet access,
  • is compatible with one of the following web browsers: (i) Google Chrome, (ii) Opera, (iii) Firefox, (iv) Safari, (v) Microsoft Edge,
  • is using a web browser version that is no more than one year old,
  • has JavaScript enabled.

To use the API, the following minimum technical requirements must be met:

  • has Internet access,
  • possesses software capable of sending HTTP requests.

Use of the Widget is permitted if the following minimum technical requirements are met:

  • has Internet access,
  • is compatible with one of the following web browsers: (i) Google Chrome, (ii) Opera, (iii) Firefox, (iv) Safari, (v) Microsoft Edge,
  • is using a web browser version that is no more than one year old,
  • has JavaScript enabled.

It is advisable to install antivirus software on the Device or Mobile Device.

4. Account

Setting up an account is possible through the Website. You can log in using your Facebook or Google account, or by registering with another personal email and password.

It's crucial to provide accurate, complete and current information when creating your account. Failure to do so may result in the immediate termination of your account on both the Website and Service.

You are responsible for maintaining the confidentiality of your account and password. This includes, but is not limited to, restricting access to your device or mobile device and/or account.

You agree to take responsibility for any and all activities or actions that occur under your account and/or password. This holds true whether your password is associated with our Website and Service or a third-party service.

Should you become aware of any breach of security or unauthorised use of your account, it is your responsibility to notify us immediately.

When choosing a username, ensure that you do not use the name of another person or entity that is not lawfully available for use. Also, you may not use any name or trademark subject to rights of another person or entity other than yourself without appropriate authorisation. Usernames that are considered offensive, vulgar or obscene are also not permitted.

5. Communications

Upon creating an Account, you may opt-in to receive newsletters, marketing or promotional materials, and other information we may send.

6. Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or other promotions (collectively "Promotions") made available through the Service or Website may be governed by rules separate from these Terms and Conditions, particularly as outlined in the Agreement if applicable. Should you participate in any Promotions, please review the applicable rules and our Privacy Policy. In the event of a conflict between the rules of a Promotion and these Terms and Conditions, the Promotion rules shall prevail.

7. Subscriptions

Some portions of the Service are billed on a subscription basis ("Subscriptions"). Billing occurs in advance and takes place on a recurring, periodic basis, known as the "Billing Cycle." The Billing Cycle is set either monthly or annually, depending on the type of subscription plan you select. Unless you or the Company cancels the Subscription, it will automatically renew under the same conditions at the end of each Billing Cycle.

You may cancel your Subscription either through your Account or by contacting the Company's customer support at support@threadbox.ai. A valid payment method, such as a credit or debit card, Apple Pay, or Google Pay, is required to process the subscription payment.

You are required to provide accurate and complete billing information. This includes:

  • (i) full name
  • (ii) email address
  • (iii) country
  • (iv) the legal name of the business entity
  • (v) VAT registration number
  • (vi) valid payment method details

Submitting these payment details authorises the Company to charge all Subscription fees via your Account.

If automatic billing fails for any reason, an electronic invoice will be issued. This invoice will specify that manual payment must be made by a certain deadline.

We reserve the right to refuse or cancel your order for reasons that may include but are not limited to service availability, errors in pricing or description, or suspected fraud or unauthorised or illegal transactions. Additional fees or taxes imposed by the relevant authorities in your jurisdiction are not the responsibility of the Company.

8. Fee Changes

The Company reserves the right to modify Subscription fees at its sole discretion. Any Subscription fee changes will take effect at the conclusion of the current Billing Cycle. Reasonable prior notice of any change in Subscription fees will be given, offering you the opportunity to terminate your Subscription before the change takes effect. Continued use of the Service after a Subscription fee change implies consent to the new fee structure.

9. Refunds

Unless required by applicable law, paid Subscription fees are non-refundable.

10. Content

Our Service and Website allow you to post, link, store, share, and otherwise make available specific information, text, graphics, videos, or other material ("Content"). You bear responsibility, particularly towards your customers, for the Content you post through the Service, including its legality, reliability, and appropriateness.

By posting Content through the Service or Website, you represent and warrant that:

(i) the Content is yours or you have the right to use it, and (ii) you have the right to grant us the rights and licence as stipulated in these Terms and Conditions.

11. Prohibited Uses

You may utilise the Service or Website only for lawful purposes and in compliance with these Terms and Conditions.

You agree not to use the Service or Website:

  • in violation of any applicable national or international law or regulation,
  • with the intent of exploiting, harming, or attempting to exploit or harm minors in any way, such as by exposing them to inappropriate content or otherwise,
  • to transmit or facilitate the sending of any unsolicited advertising or promotional material, including but not limited to "junk mail," "chain letters," "spam," or any other form of solicitation,
  • to impersonate or attempt to impersonate the Company, a Company employee, another User, or any other individual or entity,
  • in a manner that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity,
  • to engage in conduct that limits or inhibits anyone's use or enjoyment of the Service or Website, or which, as determined by us, could harm or offend the Company or Users of the Service or Website, or expose them to liability.

You also agree not to:

  • use the Service or Website in a manner that could disable, overburden, damage, or impair the Service or Website, or interfere with any other party's use of the Service, including their ability to engage in real-time activities through the Service or Website,
  • utilise any robot, spider, or other automatic device, process, or means to access the Service or Website for any purpose, including monitoring or copying material on the Service or Website,
  • utilise any manual process to monitor or copy material on the Service or Website or for any other unauthorised purpose without our prior written consent,
  • utilise any device, software, or routine that interferes with the proper functioning of the Service or Website,
  • introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful,
  • attempt to gain unauthorised access to, interfere with, damage, or disrupt any part of the Service or Website, the server on which the Service or Website is stored, or any server, computer, or database connected to the Service or Website,
  • launch a denial-of-service attack or a distributed denial-of-service attack against the Service or Website,
  • take any action that could adversely affect the Company's reputation,
  • otherwise attempt to interfere with the proper functioning of the Service or Website.

12. Analytics

We may employ third-party service providers to monitor and analyse the usage of our Service and Website.

Google Analytics

Google Analytics is a web analytics service provided by Google, which tracks and reports on website traffic. Google utilises the data gathered to monitor the use of our Service and Website. This data may be shared with other Google services. Google may use the collected data to contextualise and personalise the adverts of its own advertising network.

13. Intellectual Property

The Service, the Website, and their original content (excluding user-generated Content), features, and functionality are and shall remain the sole property of Threadbox and its licensors. They are protected by copyright, trademark, and other laws both in the United Kingdom and other countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

The User does not acquire any rights to the Intellectual Property by using the Service. Any use of the Intellectual Property for purposes other than those permitted under Article 23 of the Act of 4 February 1994 on Copyright and Related Rights is prohibited. Upon purchase of a Subscription, the User is granted a limited, non-transferable, revocable, and non-exclusive License to use the Service in compliance with the Subscription terms.

  • installing the Service on the User's website and/or software,
  • utilising the Service to serve the User's customers.

The User may not modify, reverse engineer, decompile, or attempt to derive the source code from the Service or Website. Automated or proxy access to the Service or Website is also prohibited.

14. Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that user-generated Content on the Service or Website infringes the copyright or other intellectual property rights ("Infringement") of any person or entity. For Infringement claims, please email support@threadbox.ai with the subject line "Copyright Infringement."

15. DMCA Notice and Procedure for Copyright Infringement Claims

For U.S.-based services, you may submit a notification according to the Digital Millennium Copyright Act (DMCA). Provide the following information in writing:

  • An electronic or physical signature from the authorised person acting on behalf of the copyright owner,
  • A description of the copyrighted work you claim has been infringed,
  • Identification of the URL or location on the Service where the alleged infringement is occurring,
  • Your contact details, including your address, telephone number, and email,
  • A statement by you that you have a good faith belief that the disputed use is not authorised by the copyright owner or the law,
  • A statement by you, under penalty of perjury, that the information in your notice is accurate, and that you are the copyright owner or are authorised to act on behalf of the copyright owner.

16. Error Reporting and Feedback

Threadbox strives to support Guests and Users in resolving issues related to the functioning of the Service and takes action to enhance the quality of the Service based on the feedback submitted by these entities.

You may provide us directly at support@threadbox.ai with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service ("Feedback").

You acknowledge and agree that:

  • (i) you shall not retain, acquire, or assert any intellectual property right or other right, title, or interest in or to the Feedback;
  • (ii) Threadbox may have development ideas similar to the Feedback;
  • (iii) Feedback does not contain confidential information or proprietary information from you or any third party;
  • (iv) Threadbox is not under any obligation of confidentiality with respect to the Feedback. If transfer of ownership of the Feedback is not possible due to applicable mandatory laws, you grant Threadbox and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sublicensable, unlimited and perpetual right to use (including copying, modifying, creating derivative works, publishing, distributing, and commercialising) the Feedback in any manner and for any purpose.

17. Links to Other Websites

Our Service and/or Website may contain links to other websites not owned or controlled by Threadbox. Threadbox has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any other websites. You acknowledge and agree that Threadbox shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any other websites. We strongly advise you to read the terms of service and privacy policies of any other websites that you visit.

18. Disclaimer of Warranty

The Services are provided by Threadbox on an "as is" and "as available" basis. Threadbox makes no representations or warranties of any kind, express or implied, as to the operation of the Services, or the information, content, or materials included therein. You expressly agree that your use of the Services, their content, and any services or items obtained from us is at your sole risk.

19. Limitation of Liability

Threadbox shall not be liable for any indirect, punitive, special, incidental, or consequential damages, however arising, whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this Agreement, including without limitation any claim for personal injury or property damage.

20. The Guest's/User's Liability

The Guest and/or User is fully liable for the consequences of authorised or unauthorised distribution of any content available on the Website or the Service. This applies particularly to Intellectual Property. The liability includes, in particular, Threadbox's release from any claims in this respect if such claims are made against Threadbox.

21. Service Breaks

Threadbox does not guarantee the permanent accessibility of the Service or the Website. If there is an intention to implement a break, Threadbox will notify users by posting relevant information or a message on the Website or via the email provided during the Account setup process at least 3 days before the planned break.

22. Personal Data Protection and Security

Threadbox processes personal data with due diligence and ensures adequate technical and organisational security measures. Threadbox shall not be liable for the personal data protection of the User's customers who use the Service.

23. Termination

We may terminate or suspend your Account and deny access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

24. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

25. Changes to Service

We reserve the right to withdraw, suspend, or amend our Service and any service or material we provide via the Service, at our sole discretion. We will make reasonable efforts to notify you in advance. We shall not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. We may also restrict access to some parts of the Service or the entire Service to users, including registered users, in compliance with UK law.

26. Amendments to Terms

We may amend these Terms at any time by posting the amended terms on this site and, where appropriate, by notifying you via email. It is your responsibility to review these Terms periodically. Your continued use of the Service following the posting of revised Terms indicates that you accept and agree to the changes. You are encouraged to check this page frequently, so you are aware of any changes, as they are binding on you. If you do not agree to the new terms, you are no longer authorised to use the Service. In the event of discrepancies between these Terms and any separate Agreement, the provisions of the Agreement shall prevail.

27. Waiver and Severability

No waiver by Threadbox of any term or condition set out in these Terms shall be considered a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Threadbox to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent so that the remaining provisions of these Terms continue in full force and effect, in compliance with UK law.

28. Acknowledgment

By using the Service or other services provided by us, you acknowledge that you have read these Terms of Service and agree to be bound by them, in compliance with UK law.
